      钢铁行业凭借其独特的产业特点和巨大的市场需求,对国民经济的发展起到了至关重要的作用,成为国民经济的重要支柱。当前,在我国倡导绿色、低碳、可持续发展的背景下,作为国民经济的关键支柱产业,钢铁行业在追求经济效益提升的同时,更需要关注自身发展质量的转型升级,并积极履行推动社会文明建设与生态环境保护的行业责任。绿色并购作为一种新型的企业发展模式,是企业实现低碳转型的路径,为钢铁行业开辟了推动技术创新、加速绿色转型升级的通道。因而研究低碳转型背景下钢铁企业的绿色并购绩效具有重要意义。

       本研究选取M公司绿色并购实现三重绩效提升的典型案例,以并购效率理论、可持续发展理论与协同效应理论为框架,运用文献研究法、案例研究法等方法,系统梳理三重绩效及绿色并购领域研究成果,从调研问卷到数据资料收集,展开了全面剖析与探讨。本研究深入挖掘了M公司并购的动机,以及并购后企业在经济绩效、生态绩效和社会绩效等方面所发生的变化。研究发现:M公司作为钢铁行业的佼佼者,近年来积极推进绿色并购战略布局,通过并购具有先进环保技术和良好发展前景的企业,有效整合被并购体主体的技术资源,构建了新的生态化发展模式,其经济、生态、社会三方面绩效实现多维度提升。这一举措对企业的三重绩效产生了积极的正向影响,实现了企业自身的转型升级和可持续发展。

       基于以上研究结果,本文所构建的多维度绩效评估模型,为相关领域研究提供了具备可参考的理论模型,有助于企业绩效评估方法朝着更全面、更系统化的方向演进。此外,M公司绿色并购提升了三重绩效这一研究成果,为钢铁行业提供了一种实现绿色转型的有效途径,同时也为政府制定相关政策措施提供了依据和实践参考。在未来的发展中,钢铁行业应积极借鉴M公司绿色并购的成功经验,继续推进绿色并购战略,实现行业的绿色转型和可持续发展,为我国的经济发展和环境保护事业作出更大的贡献。

With its unique industrial characteristics and huge market demand, the iron and steel industry has played a vital role in the development of the national economy and has become an important pillar of the national economy. At present, under the background of advocating green, low-carbon and sustainable development in China, as a key pillar industry of the national economy, the iron and steel industry needs to pay more attention to the transformation and upgrading of its own development quality while pursuing the improvement of economic benefits, and actively fulfill the industrial responsibility of promoting social civilization construction and ecological environment protection. As a new enterprise development mode, green M&A is the path for enterprises to realize low-carbon transformation, and opens up a channel for the steel industry to promote technological innovation and accelerate green transformation and upgrading. Therefore, it is of great significance to study the green M&a performance of iron and steel enterprises under the background of low-carbon transformation

This study selected a typical case of M company's green M&A to achieve triple performance improvement. Based on the M&A efficiency theory, sustainable development theory and synergy theory as the framework, using the methods of literature research and case study, this study systematically combed the research results in the field of triple performance and green M&A, and carried out a comprehensive analysis and discussion from the questionnaire to data collection. This study explores the motivation of M company's M&A and the changes in economic performance, ecological performance and social performance after M&A. The study found that as a leader in the iron and steel industry, M company has actively promoted the strategic layout of green M&A in recent years. Through M&A of enterprises with advanced environmental protection technology and good development prospects, it has effectively integrated the technological resources of the subject of M&A, and built a new ecological development model. Its economic, ecological and social performance has achieved multi-dimensional improvement. This measure has a positive impact on the triple performance of the enterprise, and has realized the transformation, upgrading and sustainable development of the enterprise itself.

Based on the above research results, the multi-dimensional performance evaluation model constructed in this paper provides a reference theoretical model for the research in related fields, and helps the enterprise performance evaluation method evolve towards a more comprehensive and systematic direction. In addition, the research result that M company's green M&A has improved the triple performance provides an effective way to achieve green transformation for the steel industry, and also provides a basis and practical reference for the government to formulate relevant policies and measures. In the future development, the steel industry should actively learn from the successful experience of M company's green M&A, continue to promote the green M&a strategy, realize the green transformation and sustainable development of the industry, and make greater contributions to China's economic development and environmental protection.
