当今的时代是竞争的时代，各种技术日新月异，现代企业要想在竞争中保持领先地位，必须掌握核心技术，而技术创新是提高企业竞争力的主要源泉，企业要想在激烈的竞争中获胜必须进行技术创新。与此同时, 中小企业在国民经济发展中己经占据重要地位，成为保持经济发展和社会稳定的重要基础，目前，我国中小企业自主创新能力在不断提高，但依然较弱，在一定程度上制约了我国中小企业参与市场竞争的能力。因此，研究如何提高中小企业技术创新能力，促进中小企业健康发展，提高其运营绩效，促进国民经济快速增长和实现跨越式发展成为一个重要课题。影响中小企业技术创新的因素是多方面的，其中，公司治理因素对中小企业技术创新有较大的影响。公司治理是技术创新的微观制度动力源，技术创新必须与企业治理的变革同步进行、共同演进。 本文从公司治理的角度，回顾了国内外研究现状，在中小企业、公司治理、技术创新等基本定义和相关理论的基础上，以计量经济学的实证分析方法作为研究工具，从定性和定量两个方面分析了公司治理对企业技术创新的影响作用，提出了公司治理对中小企业技术创新条件的影响；分析了内、外部公司治理对中小企业技术创新的影响，并运用实证进行探讨。研究表明公司治理对中小企业技术创新有显著影响，提出了关于改善外部环境，改善股权结构，完善董事会结构和功能，加强对经营者的激励与监督以及建立共同治理机制等方面的对策。

Today is the era of competition, if enterprises want to obtain an advantage they must have the core competence. Technology innovation is the direct source of the competency, for this reason, enterprises have to enhance the technology innovation to obtain the core competency. In the meanwhile, SMEs not only have occupied an important position in the national economic development but also becoming a big power to maintain the stability of society. However, the independent innovation of SMEs is a weak point in our country. And it restrains the competency of SMEs of our country in a certain extent, so how to enhancing the independent innovation capacity of the SMEs become an important subject which can promote the development and the management of technological innovation in SMEs. Then, it can advance the economic growth rate of the country which lays a foundation for a leapfrog development. The factors can affect the independent innovation of SMEs in many aspects. The Corporate Governance has a fundamental impact on technology innovation on SMEs. There are many factors affect technological innovation of SMEs in many aspects. And Corporate Governance is the micro-institutional sources of technology innovation. So technology innovation should be executed with the reform of the Corporate Governance simultaneously. This thesis is based on the theory of Corporate Governance. Firstly, it introduces the present study of corporate governance on SMEs technology innovation. Then, it gives an outline of the theory of Corporate Governance on SMEs. It analysis with examples which is based on econometrics as a method for research, multianalyzing the impact of the governance of company to corporate innovation from qualitative and quantitative way. The thesis offers the impact of corporate governance which includes internal and external part on SMEs. At last, it applies some countermeasures to improve the external environment, the ownership structure, the board of directors’ structure and function. In addition, it discusses some strategies about the compensation and supervision of management and the establishment of joint governance system.
