摘 要 科技园区作为我国政府推动区域经济发展的增长极和体制改革的先行区，初步解决了科技与经济结合的难题，形成了科技创新资源的聚集效应和经济发展的裂变效应。但是，制度创新能力滞后于技术创新能力仍然是我国科技园区普遍存在的突出问题。 本文在对比分析马克思主义经济学和新制度经济学关于技术创新和制度创新互动关系理论的基础上，指出经济发展是技术创新和制度创新共同作用的结果。并从管理模式、投融资模式、产业政策、产权制度、创新文化五方面分析了我国科技园区制度创新的现状及存在的问题。在此基础上，通过对西安高新区制度创新的案例分析，得出了以下主要结论： （1）制度创新对科技园区的发展至关重要。在我国经济体制转轨的特定历史阶段，要发展高新技术产业，不能只重视物质资本或技术本身，而应当首先进行制度创新。 （2）决定科技园区管理模式的基本因素是市场化程度和生产力水平 ，设立“法定区域性管理机构”是我国科技园区未来发展的最佳出路。 （3）要形成良好的促进科技产业发展的激励机制，必须在产权清晰这一基本前提下进行产权制度创新，建立有效的知识产权保护制度是产权制度创新的核心内容。 （4）高科技产业的发展与金融制度的改革、创新密切相关，在风险投资市场尚未充分发育之前，商业银行的信贷服务及与之相关的融资担保仍是高科技企业融资的主要手段。 （5）我国科技园区的优惠政策已经弱化，应按照WTO原则重新制定，并应以信用交易体系建设为突破口，逐步建立科技园区的区域信用体系。

ABSTRACT As the pioneer of our government’s regional economical development and system innovation, science & technology park resolves the combined puzzle of science and economical, and forms the congregation effect of s & t creating resource and fission effect of economical development. However, there is another big problem that the innovational ability of system lags the innovational ability of technology in our science & technology park. This paper points out economic development succeeds in the mutual effects of system innovation and technology innovation, under the basis of analysis and comparison between the Marxist Economy and the New System Economy theory. It analyze the problems and present situation of the system innovation for since park from the angles of management approach, investment and finance model, industry policy, property right system, and innovation culture. It made conclusion as follow under the case study of Xi’an hi-tech zone: 1) System innovation is quite important to science&technology park. With the China’s transitional period of economy system, we should pay more attention to system innovation rather than technology material and capitals. 2) The marketing level and productivity capability decide the management pattern for since park. The best way for the further development of our science park is that we should set up legal institution of district management. 3) The clearance of property right is the precondition of creating awarding system to promote the development of Hi-tech industry, and the creation an effective intellectual property protection system is the core to property right system. 4) The development of Hi-tech industry has a close relationship with the reform and innovation of finance system. Before the mature of VC market’s coming, loans from commercial bank and finance guaranty is the main method for Hi-tech business. 5) Preference policy for our science & technology park is less important as it used to be to promote the development, we should remake our new policy according to the charts of WTO. Building credit trustworthiness systems should be breakpoint, and gradually promote it to the whole area in science&technology park.
